Approval for setting up Foreign-invested Enterprises
I. Instructions for Investment of Foreign-Invested Enterprises
1. Total Investment and Ratio of Registered Capital

                     3 million to 10 million            Not less than the higher of 2.1 million or 50% of total investment
                     10 million to 30 million            Not less than the higher of 5 million or 40% of total investment

2. Methods of Investment
Foreign investors may contribute their investments in the form of cash, buildings, land use rights, equipment, patents, etc.
3. Deadline of capital contribution
The terms of investment for foreign-invested enterprises should be clearly specified in the contracts or articles of association in accordance with the progression of the project. If the contract for the foreign-invested enterprise stipulates one-off investment contribution, the investors must pay their respective investment obligations within six months from the date of issuance of the business license. If the contract stipulates installment investment contributions, the first installment payments should not be less than 15% of the contribution agreed upon by the respective investors and must be paid within three months from the date of issuance of the business license. The remaining amount must be fully paid within two years from the date of incorporation and within five years for wholly foreign owned enterprises.
II. Eligibility
1. Foreign investors should be foreign companies, enterprises, and other economic organizations or individuals.
 2. Chinese investors are generally Chinese companies, enterprises, and other economic organizations.
III. Application Materials
(1) Sino-Foreign Equity Joint Ventures or Contractual Joint Ventures
1. Application forms
2. Feasibility study report
3. Agreement, contract, and articles of association of the joint venture
4. Certificates of qualification and identity of foreign investor entities and credit-standing certificates establishing a sound credit status for the investors
5. For Chinese investors, photocopied business certificates and audited financial reports of the preceding year
6. Name lists, letters of appointment, and photocopied identity for members of the Board of Directors and Supervisors
7. Notice of Enterprise Name Pre-Approval
8. Valid pre-qualification documents issued by planning, environmental protection, and land authorities
9. Proof of construction land-use rights or house ownership or lease agreement (all photocopied)
10. Other documents required by the examination & approval authorities.
(2) Wholly Foreign owned Enterprises:
1. Application forms
2. Feasibility study report
3. Articles of Association
4. Certificates of qualification and identity of investor entities and credit-standing certificates establishing a sound credit status for the investors
5. Name lists, letters of appointment, and photocopied identity certificates for the members of the Boards of Directors and Supervisors
6. Photocopied Notice of Enterprise Name Pre-Approval;
7. Valid pre-qualification documents issued by planning, environmental protection, and land authorities
8. Proof of construction land-use rights or house ownership or lease agreement (all photocopied)
9. Other documents required by the examination & approval authorities.

Registration of Foreign-Invested Enterprise
I. Application Materials
        (1) Application for Name Pre-Approval
        1. Application form signed by the persons-in-charge of enterprises’ setting-up 
        2. Name registration forms of foreign-invested enterprises;
        3. Legal certificates for commencing business issued by the home country (region) of the Chinese and foreign investors (the photocopied business certificate of the Chinese party shall be stamped by the original registration authority)
        4. Feasibility study report, project proposal, and the relevant approval documents (wholly foreign owned enterprises shall submit the application forms to the local government at county level or above as well as the written reply from local government);
        5. Letter of Authorization for Registration
        (2) Foreign-Invested Enterprises Applying for Registration of an Enterprise Legal Representative to Commence Business
        1. Foreign-invested enterprise registration application signed by the board chairman of the enterprise
        2. Contract, articles of association, and the approval documents and certificates by the examination & approval authorities
        3. Approval documents for project proposal or feasibility study report
        4. Legal certificates for the investors to commence business
        5.Credit-standing certificate of the investors;
        6.List, names, addresses , and appointment documents for the board members and identification of legal representatives
        7.Document of Enterprise Name Pre-Approval
        8.Proof of the corporate premises in use
        9.Other relevant documents and certificates.
        (3) Foreign-Invested Enterprises Applying for Establishment of Branches or Offices:
        1. Registration application signed by the chairman of the affiliated enterprise
        2. Notice from the original registration authority
        3. Resolution of the board of directors of the affiliated enterprise
        4. Photocopied business license of the affiliated enterprise (stamped by the original registration authority)
        5. Appointment documents and identification of the persons-in-charge
        6.Proof of the corporate premises in use
        7.Other relevant documents and certificates. If the laws and regulations or rules of the State Administration for Industry and Commerce stipulate that the establishment of branches or offices requires prior approval, application documents for such approval shall be submitted.
